1. Agreement to Terms
By accessing or using the System Support Management ("SSM") platform, website, or services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
SSM provides a private AI platform that deploys on customer infrastructure. Our services include:
- Proprietary AI application deployment
- Local AI processing infrastructure
- Integration and automation tools
- Technical support and maintenance
- Training and documentation
3. Data Ownership and Control
3.1 Your Data Remains Yours
You retain all rights, title, and interest in your data. SSM does not claim any ownership rights to data processed through the platform on your infrastructure.
3.2 Local Deployment Model
SSM is designed to operate entirely on your infrastructure. Your operational data, customer information, and AI interactions remain on your servers and are not transmitted to SSM systems. We cannot access this data and do not include it in any analytics or model training.
3.3 Your Responsibilities
You are responsible for:
- Maintaining the security of your infrastructure
- Backing up your data
- Ensuring compliance with applicable laws for data you process
- Obtaining necessary consents from data subjects
4. Account Registration and Security
To use our services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized access
- Accept responsibility for all activities under your account
5. Acceptable Use
You agree not to use SSM services to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
- Transmit malicious code or interfere with service operation
- Attempt to gain unauthorized access to systems
- Engage in activities that harm others or SSM's reputation
- Resell or redistribute services without authorization
6. Payment Terms
6.1 Fees
You agree to pay all fees associated with your selected service plan. Fees are due as specified in your service agreement or invoice.
6.2 Payment Methods
We accept payment via credit card, ACH transfer, or wire transfer. All payments must be made in US dollars unless otherwise agreed.
6.3 Late Payments
Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
6.4 Refunds
Refund policies are specified in your service agreement. Trial period cancellations receive a full refund of any prepaid fees.
7. Intellectual Property
7.1 SSM Property
SSM retains all rights to the platform software, documentation, methodologies, and other intellectual property we provide.
7.2 License Grant
We grant you a limited, non-exclusive, non-transferable license to use SSM services for your internal business purposes during your subscription term.
7.3 Feedback
If you provide feedback or suggestions about our services, we may use this feedback without obligation to you.
8. Service Level Agreement
Service levels, uptime commitments, and support response times are specified in your service agreement. Enterprise customers may negotiate custom SLAs.
9. Warranties and Disclaimers
9.1 Our Warranties
We warrant that our services will perform substantially as described in our documentation and will be provided in a professional manner.
9.2 Disclaimers
EXCEPT AS EXPRESSLY PROVIDED, SSM SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- SSM'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- SSM SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- SSM SHALL NOT BE LIABLE FOR LOSS OF DATA, REVENUE, OR PROFITS
These limitations apply even if SSM has been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless SSM from claims arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of applicable laws
- Your data or content
12. Term and Termination
12.1 Term
These Terms remain in effect while you use our services.
12.2 Termination for Convenience
Either party may terminate with 30 days written notice, subject to payment of fees through the notice period.
12.3 Termination for Cause
Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within 30 days of notice.
12.4 Effect of Termination
Upon termination, your license to use SSM services ends. You may export your data before termination. We will provide reasonable assistance for data migration.
13. Confidentiality
Both parties agree to protect confidential information received from the other party with the same degree of care used to protect their own confidential information.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Connecticut, USA. Any disputes shall be resolved in the state or federal courts located in Connecticut. Both parties consent to personal jurisdiction in these courts.
15. Changes to Terms
We may update these Terms from time to time. We will provide notice of material changes via email or through our platform. Continued use after changes constitutes acceptance.
16. General Provisions
- Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms without our written consent.
- Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
